NOTICE OF PUBLIC HEARING
Notice is hereby given that a public hearing will be conducted by the Port of Greater Cincinnati Development Authority (the “Authority”) pursuant to the requirements of Section 147(f) of the Internal Revenue Code of 1986, as amended, on October 23, 2025 at 11:00 a.m., or as soon thereafter as the hearing may begin, at the offices of the Authority located at 221 East Fourth Street, Suite 200, Cincinnati, Ohio 45202, regarding the issuance and sale of development revenue bonds in an aggregate principal amount not to exceed $97,000,000 (the “Bonds”) for the purposes of (a) currently refunding certain obligations of Court & Walnut LLC, the proceeds of which were used to finance real and personal property comprising an approximately 560-space parking garage located at 107 E. Central Parkway, Cincinnati, Ohio 45202 (the “Court & Walnut Garage”); (b) currently refunding certain obligations of Fountain Square, LLC, the proceeds of which were used to finance real and personal property comprising an approximately 600-space parking garage located at 520 Vine Street, Cincinnati, Ohio 45202 (the “Fountain Square Garage”); (c) currently refunding certain obligations of Fourth & Race Development LLC, the proceeds of which were used to finance real and personal property comprising an approximately 584-space above-grade parking garage building located at 411 Race Street, Cincinnati, Ohio (the “Fourth & Race Garage”); (d) currently refunding certain obligations of Court & Walnut Lot, LLC, proceeds of which were used to finance real and personal property compromising an approximately 35-space surface parking lot located at 35 E. Central Parkway, Cincinnati, Ohio (the “Central & Walnut Parking Lot”); (e) currently refunding certain obligations of Elm Street LLC, proceeds of which were used to finance real and personal property compromising an approximately 66-space surface parking lot located at 1119 Elm Street, Cincinnati, Ohio (the “Elm Street Parking Lot”); and (f) currently refunding certain obligations of Liberty & Race LLC, the proceeds of which were used to finance real and personal property comprising an approximately 50-space surface parking lot located at 1545 Race Street, Cincinnati, Ohio (the “Liberty & Race Parking Lot”). Upon closing of the Bonds, the Court & Walnut Garage, the Fountain Square Garage, and the Fourth & Race Garage will be owned by the City of Cincinnati, Ohio and will be leased to and operated by 3CDC Master Parking, LLC. The Elm Street Parking Lot and Liberty & Race Parking Lot are owned and operated by 3CDC Master Parking II, LLC. The Central & Walnut Parking Lot is owned and operated by Court and Walnut Lot, LLC. The proposed Bonds do not constitute a debt or a pledge of the moneys or the faith and credit of the Authority and shall not be general obligations, debt or bonded indebtedness of the Authority. Any person interested in the issuance of the proposed Bonds may attend the public hearing and be heard or may file written comments regarding the issuance of the proposed Bonds with the Authority prior to the time of the public hearing. Any written submissions should be sent to the Authority at 221 East Fourth Street, Suite 200, Cincinnati, Ohio 45202 and clearly marked “Re: Pool Parking Asset Program.” Written submissions should be mailed in sufficient time to be received on or before October 23, 2025.
