NOTICE OF PUBLIC HEARING
The Port of Greater Cincinnati Development Authority (the “Issuer”) will hold a public hearing on behalf of itself and the County of Hamilton, Ohio (the “County”) pursuant to Section 147(f) of the Internal Revenue Code of 1986 (the “Code”) at 11:00 a.m. on July 29, 2026 at the Crosley Room of the main offices of the Issuer located at 221 East Fourth Street, Suite 200 in Cincinnati, Ohio regarding the plan of finance and associated issuance of one or more series of the Issuer’s Student Housing Revenue Bonds (University Station Project) (with any adjustment to such caption as the Issuer may deem appropriate, the “Bonds”), in the aggregate principal amount not to exceed $75,000,000. The Issuer will lend the proceeds of the sale of the Bonds to SFP – Musketeer, LLC, an Ohio limited liability company (the “Borrower”), the sole member of which is Strategic Facility Partners, Inc., an Ohio not for profit corporation and an organization described in Section 501(c)(3) of the Code (“SFP”), to be used to accomplish a “Project” consisting of the acquisition and improvement of existing buildings located in Norwood, Ohio at 1725 Cleneay Avenue, 1725 Lexington Avenue and 3721-3761 Montgomery Road expected to be used for various purposes related to Xavier University (the “University”), including but not limited to student housing, and, to the extent deemed necessary, paying costs of issuance of the Bonds, funding interest on the Bonds, and funding debt service reserve funds for the Bonds and/or other reserve funds, including but not limited to operating reserve funds, for the Bonds. The initial legal owners or principal users of the facilities to be financed by the Bonds will be the University or the Borrower or SFP or another affiliate of the Borrower. The Bonds will be issued pursuant to the provisions of Sections 13 and 16 of Article VIII of the Ohio Constitution and Chapter 4582 of the Ohio Revised Code (collectively, the “Act”). Pursuant to the Act, the Bonds will not constitute a debt, liability or obligation of the County, the City of Cincinnati, Ohio (the “City”), the Issuer or the State of Ohio, or constitute a pledge of the faith and credit of the County, the City, the Issuer or the State of Ohio, but shall be payable solely from the funds pledged to the payment thereof. The assets that will be part of the Project will be owned and operated by the Borrower for its benefit and for the benefit of Xavier University. The Bonds will be issued as “qualified 501(c)(3) bonds” pursuant to Section 145 of the Code. The public is invited to attend the public hearing and comment on any of the matters set forth in this notice of public hearing, and all persons who appear will be given a reasonable opportunity to express their views, both orally and in writing.
